This Agreement is between you, an independent listener or counsellor ("Counsellor", "you"), and Uma Shankar, an individual (sole proprietor) trading as Yaara ("Yaara", "we"). It applies in addition to the Terms of Service, the Privacy Policy and the Community Guidelines. You accept it when you apply in the Yaara Counsellor app.
1. Independent relationship
You use Yaara as an independent user offering listening and companionship conversations to customers. Nothing in this Agreement creates an employment, agency, partnership or joint-venture relationship. You decide when to be online, which calls to accept, and (within the ranges we offer) your per-minute rate. We provide the marketplace, the technology, billing and payouts.
2. Eligibility and verification (KYC)
- You must be at least 18 years old and resident in India.
- You must complete identity verification with a valid Aadhaar or PAN, provide a bank account or UPI ID in your own name, and give true, current information. We may re-verify at any time.
- We review every application and may approve, reject or ask for more information at our discretion. Approval can be withdrawn under section 9.
- You may describe your training or qualifications in your profile only if they are genuine and you can produce evidence on request.
3. Earnings
- For every billed minute of a call, you earn the per-minute amount shown in the app for your rate tier at the time of the call ("your share"). The remainder is the platform fee. Your share and the tiers are shown in the app before you go online and may be changed with 7 days' notice; changes never apply to a call in progress.
- Gifts sent to you during a call are credited at the value shown in the app.
- Earnings are credited to your Yaara earnings wallet in real time and are recorded in an itemised ledger you can see in the app.
- Promotional customer coins are billed to us, not to the customer, and earn you the same share.
4. Payouts
- You may request a payout of your available balance from the app. Payouts are processed weekly to your verified bank account or UPI ID.
- We may deduct tax required to be withheld under Indian law (for example TDS) and will report it against your PAN.
- A payout may be delayed or held, and specific earnings reversed, while a customer dispute, chargeback, refund under the Refund Policy, or a fraud or conduct review is open.
- Earnings from calls that breached this Agreement or the Guidelines may be forfeited.
5. Taxes and compliance
You are responsible for your own income tax and, where applicable, GST registration and returns. We will provide annual statements of amounts paid to you. You must not use Yaara to launder money or evade tax.
6. Conduct on calls
- Follow the Community Guidelines at all times.
- No medical, psychiatric, legal or financial advice. You listen and support; you do not diagnose, prescribe or treat, whatever your qualifications. If a customer is at risk, direct them to emergency services (112) or Tele-MANAS (14416).
- No off-platform contact. Do not share or request phone numbers, social handles or addresses, and never accept or request payment outside Yaara. Doing so forfeits earnings and ends this Agreement.
- No sexual, romantic or intimate content of any kind.
- Do not record calls. Keep what customers tell you confidential, except where you must report a risk to life or a crime.
- Be reachable when you are Online. Repeatedly missing calls sets you Offline automatically and affects your ranking.
7. Your data and customers' data
We process your KYC and payout data as described in the Privacy Policy, keep KYC records for the period required by law, and never show your phone number, documents or bank details to customers. You must not store, share or use any customer's personal information outside the app.
8. Profile content and brand
You keep the rights to your profile text and photo and grant us a licence to display them in the app and, with your consent, in Yaara marketing. You may say you are "a listener on Yaara" but may not use the Yaara name or logo to imply employment or endorsement.
9. Suspension and termination
You may stop at any time by going Offline, and may delete your account after withdrawing your balance. We may suspend or remove you from the platform for breach of this Agreement, the Guidelines or the law, for customer complaints, for failed re-verification, or if we discontinue the Service. On termination, earned and undisputed balance is paid out within 30 days, minus any amounts forfeited under sections 4 and 6.
10. Liability and indemnity
You are responsible for what you say on calls. You agree to indemnify us against claims arising from your breach of this Agreement or from advice or content you provide. Our liability to you is limited to unpaid, undisputed earnings.
11. Governing law and disputes
This Agreement is governed by the laws of India, with exclusive jurisdiction of the courts at Ghaziabad, Uttar Pradesh. Please raise any dispute first through the Grievance Redressal process.
12. Changes
We may update this Agreement with 7 days' notice in the app. Continuing to take calls after the change means you accept it. Questions: support@meetyaara.com.
